Agreement Overview

This Terms of Service Agreement ("Agreement") is entered into between AmigSol ("Company," "we," "us," or "our") and the client ("Client," "you," or "your") governing the use of our web development, artificial intelligence, and automation services.

This Agreement outlines the terms, conditions, and responsibilities for both parties regarding project delivery, intellectual property, payment terms, and service expectations.

Terms & Conditions

Client Responsibilities

Provide accurate and complete project requirements, specifications, and content in a timely manner

Designate a single point of contact for project communication and decision-making

Provide necessary access to systems, APIs, and resources required for project completion

Review and provide feedback on deliverables within agreed-upon timeframes

Payment Terms

Payment Schedule

  • • 50% deposit upon project initiation
  • • 25% upon milestone completion
  • • 25% upon project delivery

Payment Methods

  • • Bank transfer
  • • Credit/debit cards
  • • Digital payments

Note: Late payments may result in project delays and may be subject to late fees of 1.5% per month on overdue balances.

Intellectual Property Rights

Client retains ownership of all pre-existing intellectual property provided for the project

Upon full payment, Client receives full ownership of custom-developed deliverables

AmigSol retains rights to reusable code libraries, frameworks, and development tools

Both parties agree not to disclose confidential information without prior written consent

Project Timeline & Revisions

Project Phases

  • • Discovery & Planning (1-2 weeks)
  • • Design & Development (4-8 weeks)
  • • Testing & Quality Assurance (1-2 weeks)
  • • Deployment & Training (1 week)

Revision Policy

  • • 3 rounds of revisions included
  • • Additional revisions: $75/hour
  • • Major scope changes may adjust timeline
  • • 48-hour response time for feedback

Liability & Warranty

Services are provided "as is" without warranties of merchantability or fitness for a particular purpose

AmigSol's total liability shall not exceed the total fees paid by Client for the specific project

90-day warranty period for bug fixes and technical issues related to delivered work

Client is responsible for maintaining and updating delivered solutions after warranty period

Termination Policy

Termination Conditions

By Client

  • • 30-day written notice required
  • • Payment for work completed
  • • 25% cancellation fee if after development begins

By AmigSol

  • • Non-payment of invoices
  • • Material breach of agreement
  • • Failure to provide required materials

Governing Law & Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of Pakistan

Any disputes shall first be subject to mediation before pursuing legal action

Venue for any legal proceedings shall be in Karachi, Pakistan
